Our capital markets team has extensive experience in regulatory issues before the Brazilian Securities and Exchange Commission (CVM) and Brazilian Financial and Capital Markets Association (ANBIMA), structuring innovative transactions, equity offerings (including IPOs and transactions with Depositary Receipts and Brazilian Depositary Receipts – BDRs), debt offerings, and offering of other securities. Our practice covers domestic and cross-border transactions, and encompasses all economic sectors and types of issuers.

 

We have wide-ranging experience in matters involving CVM and ANBIMA, not only in the scope of filings of public offerings and in exemption requests, but also in the licensing of participants, consultations, and other administrative proceedings before these regulators.

 

Along with our litigation and white-collar crime teams, we represent our clients in administrative proceedings initiated by the CVM, the Market Supervision Entity of the Brazilian Stock Exchange (BSM), the ANBIMA, the Brazilian Association of Private Equity & Venture Capital (ABVCAP), the Capital Market Investment Analysts and Professionals Association (APIMEC) and the National Association of Stockbrokers (ANCOR).

 

Our services also embrace the revision and development of compliance policies, focusing on the structuring of corporate governance and internal controls, including the assessment regarding the need to develop informational barriers, segregation of activities and standards of conduct due to potential conflicts of interest.

 

Our experience also includes legal advice to clients (issuers and/or underwriters) on offerings under Rule 144A and Regulation S of the Securities and Exchange Commission (SEC). Our practice offers professionals with high regulatory knowledge, who have been involved in the most relevant, challenging, innovative and complex Brazilian transactions in recent years.

 

We also assist our clients in the structuring and negotiation of credit insurance and other forms of credit support.

 

Furthermore, our banking team has specific expertise in derivatives covering all types of underlying assets, such equity, currency, commodities or financial indices.

 

Our team has recognized expertise in assisting financial institutions and other market agents in connection with regulations issued by the Brazilian Central Bank or the Brazilian Securities Commission, including foreign exchange controls.
