PRACTICE AREAS

The Infrastructure and Project Finance team at Stocche Forbes has been involved in several of the most relevant port, airport, toll road and railroad projects in Brazil. Our team has actively performed in mergers and acquisitions operations in the field. In the ports area, we have been involved in both private and public terminals and have acquired solid knowledge of the particularities of the regulatory environment applicable to the sector. In relation to toll roads, our team’s expertise dates to the first concessions in Brazil, and our partners participated on structuring and financing projects since some of the first financings associated with the Government’s concession program.

In addition, we have extensive experience in supporting the management of toll road concessions and PPPs, including preparing and monitoring claims for economic-financial rebalancing and defense in sanctioning regulatory processes. 

 

In the airport sector, we have similar experience in project financing, contract management and support for the re-bidding of airport concessions.

We also have specific knowledge in relation to railroads, including financing of rolling stock. Moreover, our lawyers have also dedicated special attention to urban mobility associated with the Olympics and World Cup, as well as the privatization of Brazilian airports.

Our team has participated in innovative project finance transactions involving structured financing, domestic transactions based on BNDES onlending or guarantees, financings by other Brazilian agencies such as Caixa Econômica Federal, as well as local and foreign capital market deals (including project bonds), and funding through multilaterals, export credit agencies and other international lenders.

We also have a strong track record in project development, covering corporate structuring such as joint ventures, as well as the drafting and negotiation of underlying agreements such as EPCs, offtake agreements, supply agreements and other contractual arrangements required for large projects.

Our team works in coordination with the firm’s tax, environmental, real estate and labor departments to ensure all angles of any project are adequately covered.

We also rely on our expertise in in public law and regulations, which have a material impact on any relevant infrastructure project in Brazil, and have extensive experience in advising local and foreign companies in participating in public tender processes.
