We have a team dedicated to project structuring, development and financing in the Oil and Gas sector, including shipbuilding projects regarding this area. Our team has also actively performed in mergers and acquisitions operations in the field. The infrastructure team has extensive experience in projects in the Oil and Gas sector, having in-depth knowledge of the commercial and regulatory matters impacting this industry. Our work includes advising financial institutions and sponsors active in the sector, in the structuring and negotiation of the financing for the development of projects, mergers and acquisitions involving the upstream, midstream and downstream segments, including in the disinvestment process of Petrobras, as well as drafting, negotiation and management of legal aspects of all related construction and operational contracts of the sector and regarding the respective supply and service chain.

Our team has participated in project finance transactions involving structured financing, domestic transactions based on BNDES onlending or guarantees, financings by other Brazilian agencies such as Fundo da Marinha Mercante, as well as local and foreign capital market deals (including project bonds), and funding through multilaterals, export credit agencies and other international lenders.

We also have a strong track record in project development, that involves preparing the clients for the rounds of bidding process promoted by ANP, along with covering corporate structuring such as joint ventures, as well as the drafting and negotiation of underlying agreements such as consortium, JOAs, EPCIs, offtake agreements and floating and fixed vessel operations, terminals and pipeline for oil and gas drainage, small-scale and gas to power agreements and other contractual arrangements required for large projects.
