Corporate/M&A, Post-Merger and Acquisition

  • Advised Votorantim S.A. on the formation of 23S Capital and the strategic partnership with Temasek for investments in Brazil totaling R$ 3.5 billion Reais.
  • Advised Farallon on the investment and subsequent restructuring of the Elizabeth Group, resulting in the acquisition of Elizabeth Cimentos and subsequent divestment to CSN Cimentos.
  • Advised Eneva S.A. on the business combination with Focus Energia.
  • Advised the U.S. fund Acon on the investment and divestment cycle in Grupo Conexão, culminating in the asset sale to Grain Capital.
  • Advised Highline on the acquisition of an Isolated Productive Unit (UPI) composed of telecommunication towers within the judicial recovery process of Oi.

  • Bachelors's degree in Law from Escola de Direito de São Paulo da Fundação Getúlio Vargas (FGV).
  • Master's degree in Commercial Law from the Faculty of Law at Faculdade de Direito da Universidade de São Paulo (USP).
  • Master of Laws  (LL.M.) at Harvard Law School.


Rafael has over 14 years of experience in mergers and acquisitions operations, both on the buying and selling sides, having been involved in numerous prominent transactions in the Brazilian and international markets.

Rafael is a co-author of the books "Empirical Studies on Corporate Law Topics" and "Judiciary Power and Development of the Capital Market," both published by Saraiva Publisher, as well as articles published in other specialized journals.

In addition to his professional activities, Rafael is also one of the founders (and current Financial Director) of the Endowment Direito GV, where he works on a pro bono basis. Rafael also provides pro bono assistance to other endowments and third-sector entities involved in education and the promotion of technological development.
