The office has a group specialized in assisting listed companies on a wide range of issues, from the management of their daily corporate activities, as well as decision-making processes, aiming to identify and manage liability risks related to such decisions.
We have professionals with extensive experience in regulatory requirements, mandatory communications, fiduciary duties, corporate governance topics, shareholder relations, executive compensation, employee policies and risk monitoring.
Our practice includes drafting, reviewing and implementing codes of best practice; advice on decisions relating to the day-to-day activities of companies and compliance with the rules issued by the Securities and Exchange Commission (CVM) and Bolsa, Brasil, Balcão (B3), including the disclosure of periodic and occasional information to the market; in addition to providing assistance in preparing responses to questions raised by such regulatory bodies. Our team also works to propose structures in operations involving public companies to ensure compliance with all requirements applicable to such companies.
Together with our litigation specialists, we work to develop quick and robust strategies to ensure rights and defend companies, controlling shareholders, administrators and members of the supervisory board in sanctioning administrative proceedings brought by the CVM. Our lawyers have extensive experience in investigations conducted by the CVM and administrative sanctioning processes involving compliance with Brazilian capital market standards.
